SCALR Affiliate Agreement

This Affiliate Agreement ("Agreement") sets out the terms under which you ("Affiliate") may participate in the SCALR Affiliate Programme operated by Brass Balls Marketing (Pty) Ltd ("SCALR", "we", "us", or "our"). By joining the programme, you agree to these terms in full.

1. Definitions

• Commission: The payment made to an Affiliate as compensation for a successful referral
• Lead: A prospective customer directed to SCALR via an Affiliate Link who has not yet made a purchase
• Affiliate Link: The unique tracking URL assigned to you for the purpose of attributing referrals
• Customer Transaction: A qualifying purchase made by a new customer referred through your Affiliate Link
• Qualifying Customer: A new user who signs up and completes a paid subscription through your Affiliate Link and remains a paying customer for at least 30 days

2. Relationship & Eligibility

You and SCALR are independent contractors. This Agreement does not create an employment, partnership, joint venture, or agency relationship. You have no authority to bind SCALR to any obligations.

To participate, you must:

• Be at least 18 years of age
• Have an active SCALR account in good standing
• Agree to all terms of this Agreement
• Have a valid payment method on file for receiving commissions

SCALR reserves the right to approve or reject affiliate applications at its sole discretion.

3. Non-Exclusivity

This Agreement is non-exclusive. You may promote competing products or services, and SCALR may operate other affiliate programmes or work with other affiliates. Neither party is restricted from working with third parties.

4. Commission Structure

Commission rate

You will earn a commission of 40% of the net value of each qualifying Customer Transaction. This rate applies to the customer's subscription fee, excluding taxes, transaction fees, and any refunds or chargebacks.

Attribution model

SCALR uses a last-referrer attribution model. If a lead was previously referred by another affiliate, the last affiliate to generate a tracked click before the purchase is credited with the commission.

Lead window

Leads are tracked for 12 months (1 year) from the date of first click. If a lead does not convert to a paying customer within this period, the tracking expires.

Recurring commissions

Where applicable, commissions may be earned on subscription renewals for as long as the referred customer remains active and paying. SCALR reserves the right to modify recurring commission terms with 30 days' notice.

Retention requirement

A referred customer must remain a paying customer for at least 30 days before the commission becomes payable. Commissions on customers who cancel or refund within 30 days will not be paid.

5. Eligibility Restrictions

The following transactions do not qualify for commission:

• Your own subscriptions or purchases on SCALR
• Purchases made by immediate family members or household members
• Transactions obtained through fraudulent means or misuse of the Affiliate Link
• Purchases made by existing SCALR customers
• Self-referrals using multiple accounts
• Transactions that are subsequently refunded or charged back

SCALR reserves the right to withhold or reverse commissions if it determines that any transaction was obtained fraudulently or in violation of this Agreement.

6. Commission Payment & Payouts

Commissions are paid monthly, typically within the first 10 business days of the following month, subject to:

• Your affiliate account being fully set up with valid payment details
• Your pending balance meeting the minimum payout threshold of [R 1,000]
• The 30-day retention period having elapsed for all qualifying transactions
• No outstanding disputes or investigations related to your account

SCALR will determine the currency and conversion rate for payouts. Commissions may be paid via EFT, PayPal, or other methods as determined by SCALR.

7. Taxes

You are solely responsible for all taxes, levies, duties, and withholdings applicable to commission income in your jurisdiction. SCALR will not withhold taxes on your behalf unless required by law. You agree to provide any tax documentation reasonably requested by SCALR.

8. Brand Promotion Guidelines

When promoting SCALR as an affiliate, you must:

• Only use marketing materials and assets provided or approved by SCALR
• Not alter, deface, or misrepresent the SCALR brand, logo, or trademarks
• Clearly disclose your affiliate relationship in accordance with applicable advertising standards (e.g., "#ad" or "affiliate link" disclosure)
• Not make false or exaggerated claims about SCALR's features, pricing, or results
• Not use SCALR's brand in domain names, social handles, or business names without prior written approval
• Not engage in spam, unsolicited messaging, or any deceptive marketing practices
• Not bid on SCALR brand keywords in paid search advertising without prior written approval

9. Legal Compliance

You agree to comply with all applicable laws and regulations in connection with your participation in the Affiliate Programme, including but not limited to:

• Consumer protection laws
• Data protection laws (including POPIA in South Africa)
• Advertising standards and disclosure requirements
• Anti-spam laws

SCALR reserves the right to immediately terminate your affiliate account if we determine that you are not complying with applicable laws.

10. Indemnification

You agree to indemnify, defend, and hold harmless SCALR, its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your participation in the Affiliate Programme
• Your breach of any provision of this Agreement
• Your violation of any applicable law or regulation
• Any content you publish in connection with promoting SCALR

11. Termination

Either party may terminate this Agreement at any time with or without cause. SCALR may immediately suspend or terminate your affiliate account for:

• Violation of this Agreement or SCALR's Terms and Conditions
• Fraud or attempted fraud
• Behaviour that damages the SCALR brand or reputation

Upon termination, any pending commissions that have met all eligibility requirements will be paid in the next regular payout cycle. Commissions that have not yet met the 30-day retention requirement are forfeited.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes shall be subject to the exclusive jurisdiction of the South African courts.

By joining the SCALR Affiliate Programme, you confirm that you have read, understood, and agree to be bound by this Agreement.
